Dear Kwasi:

On behalf of Savalan, LLC, I appreciate the opportunity to provide with back office and financial management support services as you establish your business in the United States on an ongoing basis.

Our Understanding:

Febrit International is a Haulage, Constructions, and Warehousing enterprise expanding its business to the United States. You formed your organization and are in need of CFO services and a U.S. bank account.

Our Approach:

Savalan provides back-office financial and operational support to organizations so they can focus their attention on core competencies and growing their business. We work with our clients and management teams and are engaged in strategic decisions. Our mission is to ensure the requisite infrastructure is in place to support our clients’ vision and plans. Savalan leverages a network of professionals as needed to provide services in an efficient and cost-effective manner. We oversee other administrative functions such as vendor management, payroll, and human resources, if desired.

Below are proposed tasks and responsibilities that can be outsourced to us on an as needed basis.

Initial tasks to include:

  1. Prepare for risk review in preparation for U.S. bank account application and approval process
  2. Obtain relevant and necessary business insurance
  3. Provide CFO services to include accounting, taxes and reporting requirements
  4. Provide referrals and make introductions to other service providers, as needed

Ongoing roles and responsibilities to include:

  1. Perform day-to-day accounting transactions such Accounts Payable and Accounts Receivable,
  2. Prepare month-end financial reports,
  3. Develop budgets and periodic forecasts,
  4. Perform financial analysis on initiatives,
  5. Develop policies and procedures and implement necessary infrastructure, and
  6. Serve as liaison with vendors and other service providers such as lenders, insurance brokers, , as desired.

Client Participation and Responsibilities:

During the development of this engagement letter, we have been guided by certain assumptions about the project scope, and level of your involvement and support.

We will require the support of your and your team in order to achieve timely completion of tasks/deliverables. Support includes, but is not limited to, the collection of all relevant documents, access to files and accounting systems, and the scheduling and coordination of meetings.

Use of Your Company Name in Marketing Materials:

Febrit International agrees that Savalan may list the company as a customer in its marketing materials. In addition, Febrit International gives Savalan the right to use its logo on documents prepared for internal use (e.g., internal presentations, etc.).

 

Our Pricing:

Please refer to the pricing table below for each labor category with corresponding, hourly rates. Not all tasks and labor categories may be required at this time.

Our Invoicing:

 We propose to invoice on a “time and materials” basis for the first six months to allow us time to better understand the company’s needs. After this evaluation period, we can discuss converting to a fixed price model, if requested.

We propose an annual escalation rate of 3% per labor category. Invoices will be submitted by the fifth day of the month and are due on net 15 terms.

Terms and Conditions:

Termination

Either Party may terminate this Agreement upon written notice of thirty (30) business days, unless the Parties agree otherwise.

Confidential Information

The Parties agree to protect all Confidential Information. "Confidential Information" includes any financial information of either Party. It also includes Savalan’s proprietary, Excel-based program named “Savalan Planning and Reporting System” (SPARS), designed for budgeting, forecasting, and reporting.

The Parties' obligations under this Agreement do not extend to information that is: (a) publicly known at the time of disclosure or subsequently becomes publicly known through no fault of either Party; (b) learned by either Party through legitimate means; or (c) is disclosed by either Party with the other Party's prior written approval.

Either Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the other Party. Each Party shall carefully restrict access to Confidential Information to employees, contractors and third parties as is reasonably required,

and shall require those persons to sign nondisclosure restrictions at least as protective as those in this agreement. A Party shall not, without prior written approval of the other Party, use for its own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of a Party, any Confidential Information. Each Party shall return to the other Party any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if the other Party requests it in writing.

Non-Solicitation of Personnel (including consultants and contractors)

Each Party hereby agrees not to solicit, recruit, or offer employment to, any of the other Party’s personnel (including consultants and contractors) who are, or have been, assigned to perform work that is related to this agreement, until one (1) year after the termination of this agreement. In the event that either Party hires such personnel of the other Party before the one-year period is up, the hiring Party shall pay the other Party twenty-five percent (25%) of the total first-year compensation that such personnel receives as compensation from the hiring Party.

Binding Upon Successors

This agreement shall be binding upon the Parties, as well as their successors and assigns. Neither Party may assign this agreement without the written consent of the other Party.

Dispute Resolution Through Arbitration

Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules (including the Emergency Interim Relief Procedures), and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The place of arbitration shall be in Virginia, unless the Parties agree on a different location.

Applicable Law and Venue

This agreement is governed by the laws of the Commonwealth of Virginia. Venue is with a court of competent jurisdiction in Virginia.

If the terms of this engagement letter as set forth above are acceptable, please indicate your acceptance and authorization for Savalan to proceed with the related work by signing this letter in the appropriate space below, and returning to me. This proposal and associated rates are valid for 30 days.
